1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of ApexAd Agent (the "Service"), operated by DATA TRANSMUTATIONS LTD ("we", "our", or "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

2. Eligibility

You must be at least 16 years old and legally capable of entering into binding contracts to use the Service. By using the Service, you represent and warrant that you meet these requirements.

3. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorised use of your account. We are not liable for any loss or damage arising from unauthorised account access.

4. Subscriptions & Billing

The Service is offered on a subscription basis. By subscribing, you agree to the following:

• Subscription fees are billed in advance on a recurring monthly basis unless otherwise stated.
• A 7-day free trial may be offered. If you do not cancel before the trial ends, your paid subscription begins automatically.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period, and you retain access until then.
• All fees are non-refundable except where required by law.
• We may change our fees upon reasonable notice. Price changes take effect at the start of your next billing cycle.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law.
• Submit content that is false, misleading, infringing, or harmful.
• Attempt to access, tamper with, or disrupt the Service, its security, or its underlying infrastructure.
• Use the Service to send spam, engage in deceptive advertising, or violate Meta (Facebook) or any third-party advertising policies.
• Reverse engineer, decompile, or otherwise extract source code or proprietary data from the Service.

6. Meta (Facebook) Integration

The Service integrates with Meta platforms to create and manage advertising campaigns on your behalf. You are solely responsible for ensuring your use of Meta complies with Meta's Advertising Policies, Terms of Service, and Lead Ads Terms. We are not responsible for the suspension, rejection, or removal of your campaigns by Meta, nor for any actions Meta takes against your account arising from your use of the Service.

7. AI-Generated Content

The Service uses artificial intelligence to generate video ad scripts and avatar videos based on information you provide. AI-generated content may contain inaccuracies or produce unexpected results. You are responsible for reviewing all generated content before using it in live advertising. We do not guarantee any specific results, performance, or return on investment from campaigns created using the Service.

8. Intellectual Property

The Service, including its software, design, and branding, is owned by us and protected by intellectual property laws. AI-generated scripts and videos created for you are licensed to you for use in your own marketing campaigns. You retain ownership of the business information you submit, and grant us a limited licence to use it solely to provide the Service to you.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any particular results will be achieved. Any reliance on the Service is at your own risk.

10. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business, arising out of or related to your use of the Service. Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights, including Meta's policies.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and without notice if we believe you have violated these Terms. Upon termination, all of your data may be removed. Provisions of these Terms that by their nature should survive termination shall remain in effect.

13. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of significant changes by posting the updated Terms on this page with a revised date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
